Bayer AG and its affiliates and subsidiaries (“Bayer”) make the following disclosures pursuant to §44475 of the California Health and Safety Code, as added by California Assembly Bill 1305 (also known as the Voluntary Carbon Market Disclosures Act) which requires businesses to disclose certain information if they market or sell voluntary carbon offsets in California.

Information regarding the project(s) associated with Bayer’s marketing or sale of voluntary carbon offsets in the State of California is provided below. The project(s) listed may not have issued voluntary carbon offsets at the time of disclosure publication. This information is not a guarantee or representation as to the quality, integrity, or specific attributes of voluntary carbon offsets or the projects provided below, nor has this information been reviewed or approved by a project registry prior to publication.

Voluntary carbon offsets were issued by this project pursuant to Nori Croplands Methodology 1.4. This project was not designed to meet any additional standards for voluntary carbon offset issuance established by third parties or by law.
The project’s relevant registry from Project Start Date until June 2024 was Nori, Inc. Currently, Bayer is utilizing the Northern Trust Carbon Ecosystem, offered through The Northern Trust Company who are acting as designated custodian to record, transfer, and settle voluntary carbon offsets.
With respect to durability, projects conducted pursuant to Nori’s Croplands Methodology 1.4 carry the risk of non-permanence through reversals caused by a farmer’s discontinuation of their selected regenerative agricultural practices or a farmer’s acts or omissions resulting in the inability to model increased soil carbon sequestration. Carbon reversal mitigation for this project will follow a conservative quantification approach – voluntary carbon offsets are issued based on the lower of either (i) the estimated annual removal for the applicable year, or (ii) the 10-year annual removal average (based upon the estimated annual removal for each vintage year within such 10-year period).
All projects that have issued voluntary offset credits following Nori’s Croplands Methodology 1.4 have passed third-party validation and verification.
As of the date of this disclosure, the project has issued 389,000 metric tons carbon dioxide equivalents from removals. Annual emissions removed is estimated at approximately 100,000 metric tons carbon dioxide equivalents based on the current number of agricultural acres enrolled in the project’s underlying grower initiatives.
